Vodacom is set to ask shareholders to approve the appointment of Yolanda Cuba as a non-executive director when it holds its annual general meeting next month.
The group says in a statement that Albertinah Kekana can no longer be considered an independent director and will step down from the board after the meeting finishes on 18 July. Vodacom says this follows her appointment as CEO of Royal Bafokeng Holdings.
Vodacom chairman Peter Moyo thanked Kekana for her "valuable" contribution to the board.
Vodacom's board has nominated Cuba in Kekana's place and will put the nomination to the vote at the meeting. Cuba has a BComm in statistics, as well as a BComm honours degree in accounting and is a chartered accountant.
Moyo said he welcomed Cuba's appointment and was looking forward to her contribution on the board.
Cuba is also set to serve on Vodacom's audit, risk and compliance committee. She is currently executive director of strategy and business support at South African Breweries (SAB), a position she has held since February 2012. She joined SAB in September 2011 as executive director of development and decision support.
Before joining SAB, Cuba was group CEO of Mvelaphanda Holdings, which she joined in 2003 in the corporate finance division and then became CEO in 2007, says Vodacom.
The cellular operator says she was recognised as the Top Empowered Business Woman of the Year in 2006 by "Top Companies" and was awarded a Youth Excellence award in 2007 by the Black Management Forum.
Cuba was also selected as one of the Young Global Leaders in 2008, an initiative by the World Economic Forum. She was named as one of the "20 Youngest Power Women in Africa" by Forbes Magazine in 2011. She also serves on a number of boards, including Absa and Steinhoff International.
