Authentidate, Parascrip merge

Authentidate Holding, a worldwide provider of secure workflow management software and Web-based services, and Parascript, an image analysis and pattern recognition software provider, have signed a definitive merger agreement, says Market Watch.

Under the terms of the agreement, Authentidate will acquire Parascript for up to $10 million in cash, a five-year 10% note in the principal amount of $20 million, which is subject to adjustment, 30 million shares of Authentidate common stock, and all of the shares of Authentidate's German subsidiary, Authentidate International.

Contingent consideration based on the financial performance of a newly formed business unit may also be paid in Authentidate common stock in 2012.

Media Distributors releases new division

Media Distributors, a distributor of professional products, systems and services for entertainment and enterprise, has released a new company division, Workflow & Technology Solutions Group, reports Broadcast Newsroom.

The new Workflow & Technology and Solutions Group will employ a team of experienced and dedicated technology specialists with over 40 years of combined experience.

The group will provide design, sales, rentals, installation and service/support for integrated workflow solutions to a broad spectrum of clients working within the post-production and broadcast industries."

College selects Cardiff BPM solution

The Edmonds Community College has selected Cardiff's business process management solution, LiquidOffice, to enhance its administration's efficiency and improve employee productivity, states CBR Online.

The solution will initially be used by the college to streamline and automate the processing of thousands of forms, such as personal action forms (PAFs) that are initiated by human resources to process a number of activities, including cost of living adjustment and salary increases.

The college estimates that approximately 5 000 to 10 000 PAFs are processed each year and these forms must be routed to multiple departments for approval.
