Datatec has appointed new board members after being slammed by shareholders for two corporate governance issues this year.
The group has split the roles of chairman and CEO, currently held by Jens Montanana, and has appointed former Anglo American executive chairman Leslie Boyd as the group`s non-executive chairman.
Montanana retains the CEO position.
Datatec has also appointed Tongaat-Hulett Group chairman Cedric Savage and former Deloitte & Touche chairman Colin Brayshaw as non-executive directors.
Jon James has resigned from the board but will continue as chief operations officer of Logical Australia.
The changes to the board mean that Datatec now has five executive directors and six non-executive directors. Other appointments will be announced soon, the group says.
The group`s remuneration committee has also been restructured. Boyd will serve as chairman, with John McCartney and Christopher Seabrooke on the committee.
Remuneration became a major issue this year after it emerged that the directors had been paid large bonuses from profit on the sale of the UUNet stake. The group agreed to restructure its incentive scheme after being slammed by its major shareholders.
It also reversed a decision to pay insider trading settlements on behalf of Montanana and financial director Robin Rindel.
Brayshaw has also been appointed to chair the audit committee, while Savage is to chair the risk committee.
The Datatec share, which rose 12.8% or 190c to close at 1 670c on the JSE yesterday, was trading another 9.6% higher at 1 830c by late this morning.
