MTN bolsters board

Africa's largest cellular operator, MTN, has appointed three new non-executive directors and one executive director to its board.

Nazir Patel is taking over Robert Nisbet's position on the board. Nisbet relinquished his board position at the end of September.

Patel joined MTN in April 2006 as group executive of finance. He is a qualified CA with “wide international experience in Europe and the Middle East”, says MTN.

Since joining the company, Patel has been responsible for its financial management and accounting function. He has participated in several of the group's mergers and acquisition activities, and serves on a number of MTN's subsidiary boards.

Independent directors

Dawn Marole has been appointed as an independent non-executive director and a member of the group management and committee.

Marole has a BComm in accounting from the University of Zululand; a diploma in tertiary from the University of SA; and an MBA in marketing management from Northern Eastern University, in Boston, US. She is a graduate of the executive leadership development programme from the Wharton School of Business, in Washington; and the leadership programme at the Gordon Institute of Business Science.

She is executive director of human resources at African Bank Investment and is a non-executive director of Incwala Resources, Dema Group, JP Morgan Chase Bank NA's SA Business Unit.

Marole is also a member of the policy board for financial services and regulations as an advisor to the minister of finance. She is chairman of People Opposing Women Abuse.

Peter Mageza has also been appointed as an independent non-executive director and a member of the group audit committee.

He is a fellow of the Association of Chartered Certified Accountants UK and, until June, was an Absa director and group COO. Mageza serves on the boards of Bidvest Group, Remgro and Rainbow Chickens.

International expertise

Alan Harper, who is from the UK, is the third non-executive appointee. He is also a member of the company's nominations, remuneration, human resources and corporate governance committee.

Harper worked for the Vodafone Group from 1995, and served as group strategy and new business director for Vodafone from 2000 to 2007. He was responsible for corporate and regulatory strategy, business development, research and development as well as public policy.

Harper was a member of the executive committee of the Vodafone group from 1997 to 2007, a board member of the GSM Association, chairman of Vodafone Ventures and chairman of the board of trustees of the Vodafone UK Foundation.

Azmi Mikati, who hails from Lebanon, has been appointed to the nominations, remuneration, human resources and corporate governance committee. He has been a non-executive director since July 2006.
