Softline is the second company in as many days to announce a new-look board as firms move to comply with the corporate governance guidelines outlined in the King II report.
Prism announced yesterday that its board had been reconstituted to include more non-executive than executive directors.
Today Softline announced that its board now comprises six non-executive directors and three executive directors.
The King II report, released early last week, focused strongly on representation and with this in mind, called for companies to have a greater contingent of non-executive directors in top management.
It also made note of the fact that greater transparency is needed in IT companies, in particular due to the high-risk nature of the industry.
"Typically, these organisations have traded at a significant earnings multiple because of their perceived growth potential. Employees are often attracted to these businesses with comparatively low fixed income because of the same growth expectations," reads the report.
"Management needs to be completely honest and transparent in reporting organisational results and prospects."
