Spescom is to sell its 50% stake in Energy Measurements to Siemens for R34.8 million cash.
Spescom says the sale is in line with its intention to dispose of businesses deemed to be outside its core focus - information and communications technology.
Energy Measurements is an electricity metering and revenue management company.
The disposal, which is subject to shareholder and regulatory approval, does not include the sale of the patent for the transfer of funds using encrypted numbers, the group says.
"This patent remains the property of Meter Patent Development, with Spescom retaining the exclusive right to grant sub-licences worldwide.
"Spescom has sub-licensed various manufacturers worldwide and will continue to receive royalties from them," Spescom says.
The existing sub-licence to Energy Measurements will remain in place.
Had the deal taken place in the six months to 31 March this year, Spescom's headline earnings would have been 15.3c per share instead of the reported 14.2c for the period.
The group's net asset value would have been 37% higher at 177c per share instead of the reported 129c.
