Vox aligns board with King code

JSE-listed Vox Telecom has shuffled its board to bring it in line with the provisions of the Corporate Amendment Act and the revised corporate requirements in the King Report on Corporate Governance.

In a Stock Exchange News announcement, the telecommunications company says Vulindlela (Vuli) Cuba has been appointed as non-executive chairman. Current chairman Tony van Marken will assume the role of CEO, while Doug Reed moves from CEO to group MD.

Cuba has a BSc in land surveying from the University of Fort Hare, a BSc in information systems from Unisa and an MBA from the London Business School. He founded NGN Telecoms and is executive chairman of its South African and international operations, among other board positions.

Douglas Wallace has also being appointed as a non-executive director. Wallace is a chartered accountant, and completed his articles at Deloitte Plender Griffith Annan & Co, in Cape Town, in 1971.

He worked at Deloitte from 1965, where he started his career as an audit clerk. Since 1976, he has acted as an audit partner at Deloitte and retired in 2005. Wallace is now on the board of trustees of the Epoch Trust, a charitable entity formed by Anglo American as part of its social responsibility.

“The board welcomes Vuli and Doug [Wallace] to the company, and believes their extensive experience will add tremendous value to the board's strategic and independent thinking,” Vox says.

Board resignations

Jacques du Toit and Gary Sweidan have resigned as main board directors with effect from the beginning of this month.

Du Toit will remain an executive committee member and executive director of Vox Orion. Sweidan will remain as an executive committee member and director of Vox Datapro.

Lulu Gwagwa has resigned as a main board director from 1 August, but will be an alternate director to Thierry Dalais.
