Dimension Data has restructured its board and management structure and has implemented a programme aimed at improving turnover and margins.
With effect from 1 October, the Dimension Data board will be reduced to consist of four executive directors: executive chairman Jeremy Ord, CFO Malcolm Rutherford, corporate finance director Patrick Quarmby and strategy execution director Stephen Joubert.
The group has also named six non-executive directors: Gordon Waddell, Robert Mansfield, Peter Dorian Wharton-Hood, Rory Scott, David Frankel and Moss Ngoasheng.
Ord says the changes to the main board aim to bring it more in line with the corporate governance standards set out in the UK Combined Code and SA`s King Code 2002.
The group also plans to seek the services of another UK-based independent non-executive director and will evaluate separating the role of chairman and CEO.
The restructure sees Ronald Cattell, Richard Came, Peter Hird, Ettienne Reinecke, Donovan Smyth, Robert Taylor and Bruce Watson leaving the board and joining the newly formed executive committee. Raul Fernandez and Peter Harrison are also to leave the main board but will remain on the US and European regional boards respectively.
Dirk Ackerman is to resign to pursue an alternative career, although he will continue to consult to the group and take on the chairmanship of the Merchants Group in the UK.
"Following a period of globalisation and integration, the group believes it is appropriate to restructure management in order to drive forward the next phase of the group`s development and to reflect the company`s position as a fully-fledged services and solutions company," Ord says.
"We have also implemented the DD Way, a global performance-based transformation programme which aligns the group behind a common vision.
"The DD Way focuses on driving group turnover and margins as well as enhancing the value of our proprietary technology and brands. We have aggressively cut costs, are improving people management and strengthening our relationships with customers."
The creation of an executive committee is in line with a board decision that a new global management structure should drive the business to the next level following the completion of the integration and roll-out of Dimension Data`s global footprint.
The executive committee will be responsible for the operational running of the business and assisting in the formulation and execution of the group`s strategy.
Ord says the committee includes a significant infusion of new internationally experienced senior managers.
Brett Dawson, formerly executive vice-president and CFO of Dimension Data North America, has been appointed group chief operating officer.
A regional CEO has been appointed for each region and will report to Dawson.
These regional CEOs are Russell Bolan (UK), Bob Cagnazzi (US), Ron Cattell (Asia), Allan Cawood (Africa), Steve Nola (Australia) and Donovan Smyth (Europe). They will also serve on the executive committee, which will comprise 21 people in addition to the main board members.
Came and Hird will retain their positions of global solutions development and CTO respectively. Various other divisional CEOs have also been appointed.
The Dimension Data share was trading at 270c on the JSE early this morning, 1c down from Friday`s close.
