Datatec spins off Scantec to further streamline Logical SA operations

Johannesburg, 31 Jan 2000

Datatec Limited (DTC), the rapidly expanding global Networking and E-Services group today announced a restructuring of its South African e-business integration and services arm (Logical SA), that will lead to "Scantec" its hand-held data collection and scanning technologies operation, being spun-off into a separate company.

With Logical now operating in 10 countries and headquartered in London, separating out the technology focused Scantec team will enable Logical`s South African operation to concentrate on its core business - the solutions and services side of the e-business market. Gordon Edwards, CEO of Logical SA, will move to Scantec as Executive Chairman to run the business, together with Andrew Fosbrook, the current CEO of Scantec. Mike Langmore from the Logical Worldwide Headquarters in London will be responsible for managing the Logical SA business until further notice. These changes take place with immediate effect. The remainder of Logical SA`s Board will remain unchanged.

The restructuring of the Logical SA operation is a direct result of the recently announced repositioning of the Logical business that will see the company consolidate its world-wide integration, application development and consultancy operations into a single e-business integration and services company. As part of this repositioning Logical is transitioning away from reselling hardware products in all of the countries in which it operates.

"Increasingly, we are moving our business away from revenues generated through reselling products, to services and annuity type revenues," commented Logical CEO Rikke Helms. "Scantec, whilst successful in its own right, is no longer a core focus of Logical`s business. Separating out these operations, will allow each to focus more intensively on the exponential growth opportunities in their own core markets."

Logical`s parent company Datatec Ltd, will continue to have a majority shareholding in Scantec with management holding the balance. Logical SA and Scantec will continue to have a very close working relationship in order to leverage their respective competencies. Scantec will make use of the world-class e-business software development and integration skills within Logical and, in turn, Logical will call upon Scantec`s specialist skills base for assistance with their retail, logistics, distribution and general scanning solutions.
