Dimension Data Holdings plc (Dimension Data or the group), the global provider of network and multi-channel e-business solutions, has acquired 100% of the equity in In Time Netbuilding BV ("ITN"), a leading network and voice integration company with 120 employees, headquartered in Amsterdam.
ITN, which has a niche position in providing voice and network integration solutions, reported turnover of EUR19.4 million for the 12 months to June 2001. The base purchase consideration of EUR5 million, which will be settled in cash, may be increased dependent on the achievement of future revenue and profit targets to September 2002 to a maximum of EUR13 million.
The ITN acquisition provides the necessary expertise and skills to position Dimension Data Central Europe`s operations (Benelux, France and the Netherlands) in the areas of voice integration and BSS/OSS solutions, critical to Dimension Data`s i-BOSS (Integrated Business and Operational Support Systems) solution.
As a pre-integrated solution, i-BOSS forms the basis for a fast implementation of next-generation services, for example IP VPN. This is a critical consideration for service providers, which are operating in an ever-increasingly competitive environment.
The flexible and adaptable i-BOSS architecture enables a consistent customer interface and spans four crucial areas; customer relationship management, service fulfilment, service assurance and billing.
ITN has strong partnerships with Nortel and Cisco and is a market leader in IP BSS/OSS solutions and intelligent management software. ITN`s clients include Deloitte & Touche, Unilever and Ernst and Young. Of the 120 people employed by ITN, 80 people specialise in networking and voice solutions.
Commenting on the acquisition, Don Smyth, Senior Vice President, Dimension Data Europe said: "The business positioning of ITN is complementary to our existing successful network integration business in the Netherlands and is in line with our stated intention to accelerate our drive into services. Apart from improving our delivery capability in the Netherlands, ITN will allow Dimension Data to expand its offering in voice communications and particularly in OSS solutions to Service Providers.
"ITN brings with it a depth and breadth of management skills as well as strong project management capabilities."
Current Managing Director of ITN, John van der Velden, will become general manager of the combined business of Dimension Data in the Netherlands. Van der Velden said: "ITN`s unique mix of voice and data skills fits well with Dimension Data`s services strategy and working methodology. This gives our team a great opportunity to expand its services portfolio and particularly evolve in VOIP and contact centres."
Zakari Lamari, Vice President, Dimension Data Central Europe, stated: "The ITN acquisition provides the Dimension Data Central Europe region with new impetus in establishing the Netherlands as a key constituent of this region."
