OpenText buys EasyLink

OpenText Corporation, the pre-eminent provider of enterprise content management (ECM) software, today announced that it has entered into an agreement to acquire EasyLink Services International Corporation (EasyLink), a global provider of cloud-based electronic messaging and business integration services, for $7.25 per share in cash, for a purchase price of approximately $310 million, inclusive of debt. Headquartered in Atlanta, Georgia, EasyLink has approximately 550 employees and TTM revenue of approximately $186 million.

The Board of Directors of EasyLink has unanimously approved the transaction. The transaction is expected to close by mid-to-late summer 2012, subject to EasyLink's stockholder approval, certain regulatory approvals and customary closing conditions.
